Job summary

Mainspring Energy is seeking an experienced Corporate Paralegal to join its Legal team in supporting governance, securities and financing activities as the company scales.

This hands-on role collaborates with the General Counsel and cross-functional partners, owning corporate records, entity management, equity administration, and contract processes while driving scalable processes across the organization.

Qualifications

• 4+ years of corporate paralegal experience in high-growth companies or law firms.
• Strong governance, records, and entity management experience.
• Experience supporting venture financings, debt financings, M&A, or similar deals.
• Excellent organization and project management, with attention to detail.
• Strong written and verbal communication and discretion with sensitive information.

Responsibilities

• Support Board of Directors and committee materials, minutes, and resolutions.
• Maintain corporate books, records, and oversee subsidiary matters.
• Assist with equity financings, debt transactions, and related diligence.
• Support equity administration, stockholder records, and capitalization info.
• Develop scalable Legal team processes, templates, trackers, and policies.
• Manage significant contracts and legal documents, tracking key obligations.
• Coordinate legal diligence and data-room processes for financings and transactions.
• Collaborate with Finance, HR, and other teams to move complex projects.
• Coordinate with outside counsel, documents, signatures, and invoices.
• Handle additional Legal team projects as the company grows.
