Job summary

Avalon in Purchase, NY seeks a Senior Specialist, Corporate Paralegal on a temporary basis to serve as a primary resource for the Corporate Law Department. You will manage subsidiary records, corporate books, and governance documents, while collaborating with Finance, Tax, and HR to address legal requests.

The role emphasizes high‑volume document management, director/officer life‑cycle events, and process improvements using AI. Three days/week in the Purchase office, immediate start.

Qualifications

• Bachelor’s degree or paralegal certificate from an accredited institution.
• 3+ years of corporate paralegal experience in an in‑house or corporate law firm.
• Solid working knowledge of corporate governance, entity management, and compliance processes.
• Excellent written and verbal communication; ability to work cross‑functionally across Finance, HR, Tax, and other teams.
• Active Notary Public commission is strongly preferred.

Responsibilities

• Maintain and update subsidiary records, corporate books, and entity management databases.
• Draft corporate resolutions, annual meeting documentation, and certifications.
• Facilitate director/officer appointments, elections and resignations.
• Handle document management, routine corporate filings, and related admin tasks.
• Coordinate banking signatory updates and KYC documentation.
• Support cross‑functional teams with corporate legal requests.
• Manage monthly organizational chart updates and respond to inquiries from internal clients and auditors.
• Coordinate Team meetings, agendas, and follow‑ups.
• Provide general departmental support for timely, high‑quality legal services.
