Job summary

Our client, a boutique Los Angeles law firm, is seeking a Senior Corporate Paralegal to support sophisticated corporate transactions and governance matters.

This hybrid, full-time role requires 7+ years of paralegal experience, a Bachelor’s degree with an ABA-certified credential, and exposure to M&A, financing, and private equity deals. You will coordinate complex documents and maintain governance records in a fast-paced practice.

Qualifications

• 7+ years of corporate paralegal experience in boutique or mid-sized law firms.
• Bachelor's degree and ABA-approved paralegal certificate required.
• Experience with M&A, private equity, venture capital, and financing transactions.
• Strong knowledge of corporate governance and California business entities.
• Proficiency with Microsoft Office, Adobe Acrobat, DocuSign, and virtual data rooms.
• Excellent organizational, communication, and project management skills.

Responsibilities

• Support M&A, financing, reorganizations, and other corporate transactions from due diligence through closing.
• Prepare and coordinate transaction documents, closing checklists, execution packets, and post-closing deliverables.
• Manage corporate governance records, entity formations, compliance filings, and organizational documents.
• Maintain capitalization tables, stock ledgers, entity databases, and corporate records.
• Coordinate with clients, outside counsel, government agencies, and registered agents.

Salary and Other Compensation:

The annual salary for this position is between [$120,000 – $150,000] Factors which may affect pay within this range may include geography/market, skills, education, experience and other qualifications of the successful candidate.
