A highly regarded national law firm with a strong corporate practice is seeking a senior associate to join its corporate team. The firm represents emerging growth companies, investment funds, and other sophisticated clients in complex transactional matters.

Responsibilities include advising on mergers and acquisitions, supporting private equity transactions, drafting and negotiating transaction documents, and conducting due diligence.

Qualifications

• JD class of 2020-2023
• Demonstrated experience handling M&A and/or private equity transactions
• Admitted to the applicable state bar

Responsibilities

• Advise clients on mergers, acquisitions, and other corporate transactions
• Support private equity and investment fund transactions from structuring through closing
• Draft and negotiate purchase agreements, merger agreements, organizational documents, and related transaction documents
• Conduct and oversee due diligence and identify key legal and business considerations
• Work closely with clients, opposing counsel, and other advisors throughout the transaction process
• Collaborate with attorneys across the firm's general corporate and transactional practices
• Develop relationships with emerging growth companies, funds, and other clients
