Job summary

Orion Placement in North Carolina seeks a corporate transactional attorney to lead sophisticated M&A and related matters from structuring to closing. You will work closely with experienced corporate attorneys, draft and negotiate purchase agreements and other transactional documents, and manage client relationships.

This full-time, office-based role is based in Raleigh or Durham, NC, with opportunities for autonomy and visible impact.

Qualifications

• Active NC Bar license required.
• 4+ years of corporate transactional experience.
• Strong drafting and negotiation of corporate agreements.
• M&A experience with due diligence and closing.
• Excellent writing, communication, and organization.

Responsibilities

• Lead and support private buy-side and sell-side M&A transactions from structuring through closing.
• Draft and negotiate purchase agreements, operating agreements, loan docs, and related materials.
• Advise on corporate structuring, governance, and transaction strategy.
• Manage due diligence, timelines, documents, and closing requirements.
• Communicate directly with clients, opposing counsel, and advisors.
• Collaborate with partners and other practice groups to deliver coordinated solutions.
• Balance multiple transactions with attention to detail and client service.

Job description

• Take a lead role on sophisticated corporate transactions, including private M&A, commercial agreements, financing matters, and strategic business transactions.
• Work closely with highly experienced corporate attorneys who bring deep transactional knowledge and a practical, business minded approach to client service.
• Manage meaningful portions of transactions from structuring and drafting through negotiation and closing, with increasing autonomy based on experience.
• Build lasting relationships with business owners, executives, investors, and other sophisticated clients across a broad range of industries.

Location:

This is a full time, office based opportunity in either Raleigh or Durham, North Carolina, offering close collaboration with an experienced corporate team and hands on involvement in sophisticated transactional matters.

Note:

Candidates must be active members in good standing of the North Carolina State Bar and have 4+ years of corporate transactional experience. Meaningful experience with M&A, transaction documents, contract drafting and negotiation, and client management is strongly valued.

• Manage transaction processes, due diligence, documentation, timelines, and closing requirements.
• Communicate directly with clients, opposing counsel, advisors, and other transaction participants.
• Collaborate with partners, senior attorneys, and other practice groups to deliver coordinated solutions for complex client matters.
• Balance multiple active transactions while maintaining strong attention to detail, responsiveness, and client service.

Qualifications

• Active North Carolina Bar license in good standing.
• 4+ years of directly relevant corporate transactional experience.
• Strong experience drafting and negotiating sophisticated corporate and commercial agreements.
• M&A experience, including familiarity with transaction structuring, due diligence, purchase agreements, and closing processes.
• Strong knowledge of corporate law, commercial transactions, and related business considerations.
• Excellent legal writing, negotiation, analytical, communication, and organizational skills.
• Ability to independently manage substantial responsibilities while collaborating effectively with a broader legal team.
