Job summary

Old National Bank in Chicago seeks a seasoned Corporate Counsel to provide legal guidance on corporate, public company and securities matters. The role focuses on securities matters, governance, board activities, and merger transactions.

You will review contracts, prepare proxy statements and SEC filings, support subsidiary maintenance, and partner with business teams across the organization. This on-site role offers growth, competitive compensation, and comprehensive benefits.

Qualifications

• 5–10 years' experience at a major law firm or in-house legal department.
• Admitted and in good standing in the bar of IL/IN/KY/MI/MN/WI.
• Ability to apply sound legal analysis and practical business judgment.
• Ability to consult with and advise management at all levels.
• Strong written, oral and interpersonal communication skills.
• Ability to deliver timely, high quality work product.
• Ability to work independently and collaboratively in a client-focused, team environment.

Responsibilities

• Handle general corporate and public company/SEC matters.
• Prepare, review and file proxy statements, reports (10-Ks/10-Qs/8-Ks/Section 16) and SEC filings.
• Analyze and prepare Board and Board Committee materials.
• Manage merger and acquisition activities, including due diligence and closing.
• Assist with annual reporting and entity maintenance for subsidiaries.
• Review and negotiate corporate contracts and confidentiality agreements.
• Advise management across levels on legal matters.
• Coordinate and lead corporate projects with senior legal leadership.
