Job summary

Palo Alto Networks, located in Santa Clara, CA, is seeking a Senior Corporate Counsel to join our dynamic corporate legal team. You will collaborate with Accounting, Equity, Finance, Investor Relations, People, and Tax on governance, securities, and compensation matters.

The role requires strong analytical, self-starting skills and the ability to operate with independence in a global context. A JD and bar admission are required.

Qualifications

• Attorney with admission to the bar in at least one US state.
• Minimum 5 years of legal experience in corporate/securities or compensation matters.
• Experience with proxy statements and SEC reporting is a plus.

Responsibilities

• Assist with SEC filings, annual reports, proxy statements, and registration statements.
• Advise on executive compensation, benefits, and equity plan administration.
• Support corporate governance, board materials, and public-company policies.
• Review public communications, earnings materials, and investor materials.
• Oversee 16 reporting, 10b5-1 plans, and related compliance programs.
• Provide legal support on equity compensation in strategic transactions including M&A.
• Oversee subsidiaries, entity structuring, and tax reorganizations; coordinate outside counsel.
