Job summary

Snowflake seeks a Corporate Counsel or Senior Corporate Counsel to join its Corporate Legal team. The role focuses on public company reporting, governance, and equity compensation matters, with in‑person work in Menlo Park, CA or Dublin, CA.

You will help prepare periodic reports, proxy statements, and governance materials, and ensure compliance with securities laws and internal policies. 4+ years of experience and a California‑bar in good standing are required.

Qualifications

• 4+ years of public company legal experience (ideally both law firm and in‑house).
• Experience with public company reporting and governance processes.

Responsibilities

• Assist with preparation and review of periodic reports, proxy statements, and governance materials.
• Support governance calendar, board and committee materials, and shareholder meeting processes.
• Handle insider trading law compliance, Section 16 reporting, and 10b5-1 plan administration.
• Assist with equity plan administration and compliance with equity award plans.
• Maintain compliance with corporate policies (Related Party Transactions, Insider Trading, 10b5-1).
• Support public company securities law compliance (1933 Act, 1934 Act, 1940 Act, Hart-Scott-Rodino).
• Collaborate on investor relations, governance, financing, compliance, and international expansion.
