Job summary

NextDecade is seeking a Counsel, Corporate to advise on public company governance, securities law, finance and capital markets transactions, and general corporate matters. You will work closely with senior management and cross-functional teams including Finance, Accounting, Investor Relations and HR.

The role requires a JD with active U.S. license and 5+ years of experience advising public companies on securities matters, capital markets, and corporate finance.

Qualifications

• JD degree and active U.S. license to practice law.
• 5+ years of legal experience advising public companies.
• Experience with securities law and SEC reporting/compliance.
• Experience with capital markets and corporate finance transactions.
• Strong project management; able to work across functions.
• Excellent written, verbal and interpersonal communication; detail-oriented.
• Proactive problem-solving and process improvement.
• Ability to communicate with senior management and stakeholders.

Responsibilities

• Support public company governance and securities law compliance, including filing SEC reports (10-K, 10-Q, 8-K).
• Assist with preparation of board and committee materials.
• Prepare, review, and advise on Section 16 filings and disclosure requirements.
• Support finance and capital markets transactions, including debt financings and derivatives.
• Provide legal support to Investor Relations, including review of press releases and investor materials.
• Develop corporate policies and programs for a public company; implement and refine forms/processes.
• Coordinate outside counsel as needed and promote compliance with laws and policies.
