Job summary

DataOne is seeking an experienced Senior Corporate Counsel to lead corporate development, financing, governance, and regulatory affairs. You will collaborate with executives, finance, and external advisors on complex transactions, while managing risk and ensuring regulatory compliance in a fast-paced growth environment.

The role requires strong drafting, negotiation, and strategic advisory skills, with extensive experience in M&A, financing, and project finance across U.S.

Qualifications

• J.D. from an accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• Minimum of 8 years of legal experience.
• Significant experience in mergers & acquisitions, corporate transactions, financing transactions, and governance.

Responsibilities

• Support and manage mergers, acquisitions, divestitures, joint ventures, and partnerships.
• Draft, review, negotiate, and coordinate transaction documents.
• Lead and coordinate legal due diligence efforts and post-closing integration.
• Manage legal workstreams from evaluation through closing.
• Coordinate with lenders, investors, and external counsel.
• Oversee governance, regulatory compliance, and corporate filings.
