Job summary

Lewis Ringelman P.C. is seeking a Senior Associate Attorney or Counsel to lead sophisticated business and corporate transactions in a Denver-based practice. You will manage deals from inception through closing, advise clients, and supervise junior staff, all in a collaborative, entrepreneurial setting.

The ideal candidate will have a JD, a Colorado license, 5+ years of experience in corporate work, and strong drafting, negotiation, and client-relations skills.

Qualifications

• J.D. degree from an accredited law school.
• Active Colorado law license or the ability to obtain admission promptly.
• At least five years of substantial corporate and commercial transactional experience.
• Experience drafting and negotiating complex transactional agreements.
• Ability to manage multiple transactions independently with sound judgment.
• Strong analytical, drafting, negotiation, and communication skills.
• Excellent organizational skills and attention to detail.

Responsibilities

• Lead and manage significant mergers, acquisitions, financings, and other corporate transactions from structuring to closing.
• Draft, review, and negotiate acquisition agreements, operating and shareholder agreements, financing documents, and other contracts.
• Coordinate due diligence, schedules, closing documents, and post-closing matters.
• Work directly with clients to understand objectives and deliver practical solutions.
• Negotiate with opposing counsel, lenders, investors, and other participants.
• Advise on corporate governance, entity formation, and general business matters.
• Supervise junior attorneys and paralegals when appropriate.
• Develop and maintain client relationships and the firm’s corporate practice.
