Job summary

Greene-Levin-Snyder Legal Search Group is seeking a Corporate Senior Counsel to be a senior, trusted partner to leaders across the business. The role covers governance, strategic transactions, M&A, investments, joint ventures, and corporate financing, with significant autonomy and cross-functional collaboration.

You will advise senior leadership, lead governance for the company and its subsidiaries, and work closely with Finance, Tax, and Development teams to drive disciplined decision-making.

Qualifications

• JD from an accredited law school and active membership in at least one U.S. state bar.
• 6+ years of corporate transactional experience from a top law firm or in-house team.
• Experience with M&A, strategic investments, joint ventures, and financing transactions; power/digital infrastructure is a plus.
• Excellent drafting, negotiation, and project-management skills.
• Strong commercial judgment and ability to guide complex matters to completion.
• Proven ability to partner with senior leaders and cross-functional teams.
• Willingness to own both strategic and detailed execution.

Responsibilities

• Advise senior leadership and business teams on a broad range of corporate matters, providing practical, commercially focused legal guidance.
• Lead corporate governance for the Company and its subsidiaries, including board and committee matters, resolutions, approvals, and corporate records.
• Advise on stockholder and capitalization matters, including governance rights, equity issuances, reorganizations, and amendments to key corporate agreements.
• Lead and support strategic transactions, including M&A, investments, joint ventures, restructurings, and asset sales, from diligence and structuring through negotiation and closing.
• Partner on corporate financings and capital raises, working with Capital Formation, Capital Markets, Finance, Tax, Investment, and Development teams on equity and debt transactions.
• Develop and improve corporate processes, policies, approval frameworks, and signing authorities to support efficient and disciplined decision-making.
• Manage outside counsel with accountability for scope, quality, timing, and cost.
• Support the broader legal team on complex and time-sensitive matters and contribute to a collaborative, high-performing legal function.
