Job summary

Aspen Aerogels, Inc. is seeking a Corporate Counsel to join our Legal team in Northborough, MA. You will provide strategic legal guidance across functions such as Sales, Commercial, Operations, and Finance, and negotiate a broad range of commercial agreements.

You will help manage compliance programs, corporate governance, employment law matters, and regulatory inquiries. This role requires a JD, MA bar, and 5+ years of in-house or equivalent experience in a fast-paced environment.

Qualifications

• JD and bar admission in good standing in at least one state.
• 5+ years of relevant experience, preferably in-house corporate legal department.

Responsibilities

• Provide strategic legal advice to support Sales, Commercial, Operations, Finance, IT, HR, Investor Relations and other functions.
• Draft, negotiate and manage a wide range of agreements (customer, supplier, channel, confidentiality, consulting, JV/ development, licenses, real estate).
• Oversee compliance programs and training; advise on Code of Conduct, data privacy, trade compliance, antitrust and records retention.
• Maintain corporate governance practices; draft resolutions and governance documents.
• Advise on employment law, including recruitment, performance, discipline, terminations, investigations, leaves, mobility and M&A.
• Assist with enterprise risk management and regulatory inquiries; support litigation and investigations as needed.
• Lead cross-functional projects and participate in steering committees; contribute to SEC disclosures as applicable.
