Job summary

Novanta is seeking a Senior Corporate & Commercial Counsel reporting to the General Counsel to partner with business units across medical and industrial markets. You will draft, review, and negotiate commercial contracts and support corporate and securities matters.

This high‑visibility role requires a JD, 8+ years of experience, and a proven ability to implement contract technology and AI‑enabled workflows, while maintaining integrity and collaborating with finance, tax and treasury teams.

Qualifications

• J.D. from an accredited law school and a member in good standing of at least one state bar.
• 8+ years corporate legal experience.
• Prior in‑house or law‑firm corporate legal experience supporting multinational manufacturing or high‑tech organizations handling commercial legal and corporate/ securities laws matters.
• Proven experience in developing and managing commercial contracting processes.
• Experience with SEC and Nasdaq compliance, as well as general corporate and transactional matters.
• High integrity and ethical standards.
• Demonstrated interest in and experience leveraging AI tools, contract technology platforms, and legal operations technology to drive efficiency, improve contract workflows, and modernize legal department processes; a track record of identifying and implementing tools that transform how a legal team works.

Responsibilities

• Negotiate and draft key customer and vendor contracts, including IT and G&A contracts, aligning with risk appetite.
• Lead refining and support of contracts management processes and policies, including use of technology and AI tools.
• Develop cross‑functional relationships to build consensus and implement contracting process improvements.
• Support compliance with securities laws and disclosure, reporting, and filing requirements in coordination with GC and finance teams.
• Provide legal support to Tax, Treasury, and Finance departments.
