Job summary

FFF Enterprises seeks a Director of Corporate & Commercial to deliver business-focused legal counsel across corporate, commercial and transactional matters. This senior attorney will advise leaders, collaborate with Contracts, and oversee governance, IP, and technology initiatives.

Responsibilities include managing cross-functional legal risks, negotiating complex arrangements, supporting acquisitions and joint ventures, and guiding outside counsel.

Qualifications

• J.D. from an accredited law school.
• Active membership in good standing in at least one U.S. jurisdiction.
• Approximately 7–10+ years of relevant legal experience.
• Significant corporate and commercial legal experience.
• Experience with financing, secured transactions, intellectual property, technology, employment matters, healthcare, life sciences or other relevant areas preferred.
• Demonstrated ability to independently manage sophisticated legal matters.
• Strong business judgment and ability to translate legal issues into practical business advice.
• Strong written and verbal communication skills.
• Ability to work effectively with senior business leaders and cross-functional teams.
• Experience managing outside counsel and complex legal projects.

Responsibilities

• Manage corporate governance and subsidiary/affiliate governance.
• Advise on corporate authority, intercompany structures and reorganizations.
• Support significant financing and refinancing transactions.
• Provide substantive legal advice on major commercial relationships and contracts.
• Draft, review and negotiate transaction documents; coordinate with stakeholders and outside counsel.
• Oversee IP portfolio and trademark/copyright issues; licensing strategies.
• Advise on technology, data ownership and AI contracting.
• Support employment, real estate, litigation and government contracting matters.
• Develop preventive legal playbooks, risk plans and governance records.
• Escalate matters with significant enterprise risk to senior leadership.
