Job description

Abrigo is seeking an individual experienced in customer contract and vendor management for our growing software business. We're looking for someone who can work independently but collaboratively in a collegial team environment. This role will report to the Vice President, Legal and work closely with members of the sales, product, finance, and IT teams.The Senior Contracts Manager will draft, review, and negotiate standard business and vendor contracts such as NDAs, Master Subscription Agreements, Amendments, Advisory Service Agreements, and Order Forms. This position will also maintain, establish, and ensure compliance with company contract and vendor policies and processes. This role will have significant interaction with internal and external facing business partners, and direct interaction with customers, vendors, and business partners. We are looking for a motivated individual who will continue to drive this important function.Applicants may choose to work remote, or be office-based in Raleigh, NC, or Austin, TX.
What You’ll Do:
  • Draft, review, edit, redline and negotiate terms and conditions for customer services agreements, software licenses, consulting agreements, NDAs, vendor agreements, business partnership agreements (i.e., reseller and referral agreements), and other contracts to ensure compliance with company policies and risk tolerance.
  • Review Requests for Proposals and collaborate with Sales and key stakeholders in the RFP process.
  • Collaborate with and maintain excellent working relationships with internal stakeholders in sales, finance, and other departments, as well as outside legal counsel and other third parties as necessary.
  • Advise internal teams related to contract interpretation; provide strategic guidance on amendments and escalated customer and vendor issues.
  • Effectively identify and synthesize key contractual terms, concepts, and risks to the Vice President of Legal Operations as well as customers and colleagues in an actionable format.
  • Create, maintain, and continuously improve on contract templates and playbooks based upon best practices and industry standards.
  • Provide internal training as required.
  • Provide support and advice as requested on new potential business opportunities.
  • Ensure Abrigo’s interests and corporate objectives are served in our customer, vendor, and business partnership agreements.
  • Support the Legal Operations team to improve existing systems, processes, and procedures to better streamline and optimize the same including building out Abrigo’s formal contract and vendor management function, ensuring alignment with FFIEC regulatory guidelines.
  • Assist internal stakeholders with contract renewals; ensure such renewals address any performance concerns requiring resolution.
  • Participate in other legal projects as requested. Examples include but are not limited to:internal presentations and trainings, conducting research and briefing teams on applicable legal developments, staying abreast of data privacy and security changes, and answering ad hoc legal questions.
  • Occasional travel required for team events to support engagement, relationship-building, and key decision-making.
What You’ll Need:
  • JD from an accredited US law school preferred or equivalent degree and experience.
  • 3+ years of experience negotiating software license and/or SaaS, consulting, non-disclosure, and vendor agreements.
  • Legal knowledge and excellent grasp of relevant terminology with the ability to communicate this to others appropriately.
  • Strong written and oral communication skills.
  • Adaptability, flexibility, and creativity in problem-solving.
  • Ability to manage multiple projects with shifting deadlines.
  • Superior organizational skills and the ability to work efficiently in a fast-paced environment.
  • Excellent attention to detail.
  • Ability to spot red flags and minimize company risks while maintaining an entrepreneurial spirit to find a path forward.
  • Independence and the ability to operate as a self-starter and leader with minimal supervision.
  • Ability to earn trust (with both internal and external stakeholders) and interpersonal skills to facilitate successful interactions with management, team members, and third parties.
  • Sound and balanced business judgment and keen strategic thinking and problem-solving skills.
  • To be team-oriented and enjoy working closely with colleagues to achieve results.
  • Exceptional time management skills and the ability to manage multiple priorities.
  • Strong computer skills. High proficiency in Microsoft Office Suite required.
  • Proficiency in Ironclad desired, or comparable CRM or contracts database experience.
