Job summary

Authenticx, based in Indianapolis, IN, seeks a contracts attorney with 5-7 years of in-house experience to own end-to-end deals, including MSAs, SaaS licenses, BAAs, DPAs, NDAs, and vendor contracts. You will be the second attorney, reporting to the General Counsel and working closely with sales and cross-functional leaders.

This role offers significant autonomy and visibility into business strategy from day one, with room to grow as the company scales.

Qualifications

• J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction.
• 5-7 years of experience in commercial contracting with a strong foundation in technology transactions (SaaS, software licensing, cloud services, or similar).
• Demonstrated ability to independently draft and negotiate complex commercial agreements.
• Experience working with or managing a CLM platform.
• Strong business judgment balancing thorough legal review with pace and priorities of a growing company.
• Comfortable operating in a lean legal team handling strategy and execution.
• Excellent communication skills translating legal concepts for non-legal stakeholders.

Responsibilities

• Draft, review, and negotiate a high volume of commercial agreements, including MSAs, SaaS/licensing agreements, BAAs, DPAs, NDAs, and vendor contracts.
• Own and optimize the contracting workflow within the CLM system for efficiency and consistency.
• Partner with sales, revenue ops, and cross-functional leaders to advise on terms, risk, and deal structure.
• Identify legal risks in transactions and elevate appropriately, using sound judgment.
• Develop and maintain contract templates, playbooks, and internal guidance for scalable contracting.
• Expand into adjacent areas like employment law, data privacy, and IP as the function grows.
