Air Products and Chemicals, Inc. seeks a Business Attorney at our Americas Law Department in Allentown, PA to provide transactional and compliance legal support for the North American region. The role involves leading M&A and complex contract work, with opportunities for cross-functional collaboration and occasional remote work flexibility.

The ideal candidate has 8+ years of transactional experience, a U.S. JD, and admission to a State Bar with in-house eligibility in Pennsylvania.

Qualificações

• 8+ years of transactional experience in private practice and a corporate legal department, including mergers and acquisitions and antitrust.
• JD degree from an accredited U.S. law school and Bar admission with eligibility to practice in-house in Pennsylvania.

Responsabilidades

• Lead and manage all phases of M&A transactions, including due diligence, deal structuring, negotiation, documentation and signing/closing
• Draft, review, and negotiate complex transaction documents, including purchase or sale agreements, TSAs, LOIs, NDAs and closing documents
• Oversee regulatory filings and compliance, including HSR/antitrust review
• Advise on post-closing integration matters
• Develop strong client relationships and provide high-level legal service across the enterprise
• Manage outside counsel and legal costs across transactions
• Collaborate with tax and finance on relevant transactions
• Provide training to internal clients on contracting and compliance
