Job summary

Progress Software Corporation is seeking a Senior Commercial Counsel to advise on complex commercial transactions across North America in a hybrid role between home and our American Fork, UT office.

The candidate should have 5+ years in-house experience, strong licensing and data privacy knowledge, and the ability to navigate on-prem, SaaS and hybrid solutions while leveraging AI tools for strategic guidance.

Qualifications

• Licensed attorney admitted to practice in at least one US state.
• 5+ years of in-house experience, preferably in software/IP.
• Strong negotiation and communication skills across senior leadership.

Responsibilities

• Advise senior leaders on legal risk, compliance and business strategy.
• Lead legal support for complex software & commercial transactions (SaaS, on-prem, hybrid).
• Draft, review and negotiate a wide range of commercial agreements.
• Collaborate with Revenue Operations, IT, Product Managers to speed deals while managing risk.
