Job summary

CVS Health Corporation is seeking a Managing Senior Legal Counsel, Compensation & Benefits, to advise on design, governance, and compliance of health, welfare and retirement plans and executive compensation programs.

You will support governance, fiduciary duties, and regulatory matters under ERISA, IRC, ACA, HIPAA, COBRA, and related laws, while guiding a legal team and partnering with business stakeholders.

Qualifications

Advised on ERISA, IRC, ACA, HIPAA, COBRA, 409A and related compliance matters.
Drafted plan documents, SPDs, resolutions, and participant communications.
Led fiduciary governance, risk mitigation, and advised plan committees.
Counseled on mergers and acquisitions affecting benefits programs.
Mentored and supervised junior legal colleagues.

Responsibilities

Provide strategic legal counsel on design, governance, and administration of health and welfare benefit plans.
Advise on regulatory compliance under ERISA, IRC, ACA, HIPAA, COBRA, and related laws.
Support governance, fiduciary duties, and plan committee operations; draft/review related documents.
Counsel on executive compensation design, governance, and severance matters.
Assist with M&A activity affecting employee benefits and executive compensation.
