Innovative Driven in Summit, New Jersey, is seeking a Senior Corporate Attorney to join a boutique firm client. This is an opportunity to handle complex commercial matters in a supportive and sophisticated environment. The firm is based in Summit and serves sophisticated corporate clients nationwide.

The role offers a hybrid work arrangement with three days onsite and two days remote each week, and exposure to a broad range of commercial matters including contracts and risk management.

Qualifications

• Admitted to practice in New York and/or New Jersey, with willingness to waive into the other jurisdiction within one year.
• 7+ years of commercial contracts and corporate law experience.
• Experience drafting and negotiating master services agreements, NDAs, and vendor contracts.

Responsibilities

• Draft, review, negotiate, and manage a wide range of commercial agreements, including master services agreements, statements of work, vendor and supplier contracts, consulting agreements, non-disclosure agreements, licensing agreements, and other complex business transactions.
• Counsel clients on contract interpretation, risk assessment, and strategic allocation of legal and business risks, including indemnification, limitation of liability, warranties, termination provisions, data privacy and security obligations, intellectual property rights, and other critical commercial terms.
• Oversee the full contract lifecycle, from initial drafting and review through negotiation, execution, amendment, renewal, and termination, ensuring alignment with business objectives and legal requirements.

This is an incredible opportunity to join a firm where you have the opportunity to handle complex substantive matters in a supportive and sophisticated environment. The firm is based in Summit, New Jersey and it serves sophisticated corporate and clients, nationwide.

The firm has a highly reasonable billable hour expectation, with associates typically billing 1500-1700 hours. It is a hybrid position, with three days onsite in Summit, and two days remote, each week.
