Elevance Health, a Fortune 25 health company, seeks an Associate General Counsel Senior for Corporate Securities & Finance to manage complex public-company matters from Indianapolis. In-office 3 days per week, hybrid setup with collaboration and policy compliance guidance across SEC, NYSE governance, and capital markets.

The role requires a JD and 15+ years of experience in securities law, with leadership in outside counsel management and cross-functional teams.

Qualifications

• Requires JD, current license to practice law, and minimum 15 years of industry/technical legal experience post licensure.
• Extensive experience advising a large public company on securities-law compliance and SEC reporting.

Responsibilities

• Advise on securities law compliance, including Exchange Act reporting, Regulation FD, insider trading, and Section 16 compliance.
• Lead preparation/review of Forms 10-K, 10-Q, 8-K and other SEC filings.
• Oversee insider trading policy and related compliance processes for directors and executives.
• Serve as legal lead for crypto-like and capital-market transactions, including debt offerings and share repurchases.
• Provide business-focused legal leadership and mentoring to junior attorneys.
