Job description

Saul Ewing is looking for an experienced attorney to join our expanding securities group in our Washington DC Office. This is an opportunity to join a sophisticated and entrepreneurial practice in a collegial and supportive environment. The ideal candidates should have at least five years of in-depth experience in the following areas:

- Public company disclosure rules and regulations (the Securities Act of 1933, the Securities Exchange Act of 1934)

- Experience drafting Forms 10-K, 10-Q and 8-K

- Proxy statements for annual and special shareholder meetings

- Experience drafting Forms 3, 4 and 5)

- Familiarity with short-swing profit rules

- Experience advising public company insiders or public companies with respect to trading plans

- General corporate and corporate governance experience in the context of public companies (e.g., drafting board resolutions, policies, press release, etc.)

- Public and private offerings of securities

- Knowledge of national securities exchange listing rules

- Broker-dealer, FINRA, investment adviser, or fund formation experience is a plus
