BCG Attorney Search seeks an experienced securities attorney to join its Washington, DC office. The role involves handling sophisticated corporate securities matters within a collegial and entrepreneurial practice, requiring at least five years of relevant experience.

The candidate will draft filings (10-K/10-Q/8-K) and proxy statements, guide insider trading plans, and participate in public and private offerings while supporting governance and disclosure initiatives across the firm’s client

Qualifications

• Minimum of five years of experience in corporate securities law.
• Strong academic background.
• Excellent research, writing, and communication skills.

Responsibilities

• Advise on public company disclosure rules and regulations under the Securities Act of 1933 and the Exchange Act of 1934.
• Draft Forms 10-K, 10-Q, and 8-K, and proxy statements for shareholder meetings.
• Prepare Forms 3, 4, and 5 and advise on short-swing profit rules.
• Provide guidance to insiders or companies on trading plans.
• Engage in corporate governance tasks such as drafting board resolutions and press releases.
• Participate in public and private offerings of securities.
• Apply knowledge of national securities exchange listing rules.
• Experience with broker-dealer, FINRA, investment adviser, or fund formation is a plus.
