Job summary

Merlin Group is seeking an experienced Assistant General Counsel to lead government contracting and regulatory matters. You will draft and negotiate commercial technology contracts, advise on compliance for FAR/DFARS and CUI/CMMC, and coordinate with sales, product, and engineering teams to align terms with business objectives.

Qualifications

• J.D. from an accredited law school and active bar membership in at least one U.S. state.
• 8+ years of legal experience, including government contracting exposure.
• Experience drafting, negotiating, and managing commercial technology contracts in public/critical infrastructure sectors.
• Deep knowledge of reseller/distributor channels, GSA Schedule, and federal contract vehicles.
• Expertise in FAR/DFARS, CUI/CMMC, and supply chain compliance.
• Understanding of U.S. federal government structure and national security context.

Responsibilities

• Draft, review, negotiate, and finalize a broad range of contracts including licensing, SaaS, distribution, and NDAs.
• Provide guidance on technology issues such as cloud services, cybersecurity, and data privacy.
• Support bids, proposals, and government agreements with regulatory compliance and risk mitigation.
• Advise leadership on government contracting matters and coordinate with cross-functional teams.
