Job summary

Cantor Fitzgerald, a diversified financial and real estate services firm, is seeking a skilled corporate attorney in Jacksonville to support complex M&A, SPAC IPOs and capital markets matters. You will partner with deal teams, manage due diligence, and guide regulatory disclosures, while coordinating with Compliance, Risk and Finance.

The ideal candidate has 3–7 years of relevant experience, a U.S. law license, and strong drafting and negotiation abilities to navigate fast-paced transactions.

Qualifications

  • J.D. from an accredited law school.
  • Admission to practice law in at least one U.S. jurisdiction.
  • Approximately 3-7 years of relevant legal experience at a leading law firm and/or financial institution.
  • Experience in mergers & acquisitions, securities offerings, and capital markets.
  • Strong due diligence, drafting, negotiation, and risk assessment skills.

Responsibilities

  • Provide legal support on corporate, securities and governance matters, including M&A, SPAC IPOs and SPAC business combinations.
  • Lead and manage legal due diligence for M&A and SPAC transactions.
  • Review contracts, financial disclosures, regulatory filings and related materials to identify risks.
  • Advise business leaders and deal teams on corporate law, securities, governance and disclosures.
  • Support preparation and review of filings and disclosures for SPACs and related transactions.
  • Coordinate with Compliance, Risk, Finance, Operations and Investment Banking to execute transactions.
  • Manage outside counsel and cross-functional transaction teams on time-sensitive matters.
  • Monitor regulatory developments affecting corporate transactions and capital markets.

Key Responsibilities
  • Provide legal support and strategic counsel on a broad range of corporate, securities and corporate governance matters, including M&A transactions, minority investments, joint ventures, SPAC IPOs and SPAC business combinations.
  • Draft, review, and negotiate transaction documents related to:
    • Mergers and acquisitions
    • Joint ventures and strategic investments
    • Securities purchase agreements and related corporate transactions
    • SPAC Initial Public Offerings (IPOs)
    • SPAC business combinations
    • Private investment in public equity transactions
  • Lead and manage legal due diligence efforts in connection with M&A transactions, strategic investments and SPAC business combinations.
  • Review and analyze corporate records, contracts, financial disclosures, regulatory filings, and other transaction-related materials to identify legal and business risks.
  • Advise business leaders, investment bankers, and transaction teams on corporate law, securities law, corporate governance, disclosure obligations, and transactional risk.
  • Support the preparation and review of registration statements, prospectuses, proxy statements, SEC filings, and other public company disclosures for SPACs and SPAC business combinations.
  • Partner with internal stakeholders across Compliance, Risk, Finance, Operations and Investment Banking to facilitate transaction execution and ensure regulatory compliance.
  • Manage outside counsel and coordinate cross-functional transaction teams on complex and time-sensitive matters.
  • Monitor legal and regulatory developments affecting corporate transactions and capital markets activities.
  • Assist with the development and implementation of legal policies, procedures, and best practices related to M&A, securities and corporate governance matters.

J.D. from an accredited law school.

Admission to practice law in at least one U.S. jurisdiction.

Approximately 3-7 years of relevant legal experience at a leading law firm and/or financial institution.

Strong due diligence experience, including leading and managing legal diligence reviews for acquisitions, IPOs, and/or other strategic transactions.

Excellent drafting, negotiation, analytical, and issue-spotting skills.

Ability to manage multiple transactions simultaneously while meeting tight deadlines.

Strong business judgment and the ability to provide practical, solution-oriented legal advice.

Preferred Qualifications
  • Experience representing investment banks, broker-dealers, issuers, private equity sponsors, or public companies.
  • Hands-on experience with public and private securities offerings and corporate governance matters
  • Deep understanding of M&A transaction structures, diligence processes, and deal execution.
  • Familiarity with SEC reporting requirements, including Forms 10-K, 10-Q, 8-K, S-1, S-4 and proxy statements.
  • Experience working directly with senior business leaders and transaction professionals in a fast-paced financial services environment.
  • Background supporting cross-border transactions is a plus.
