Job summary

Larson Maddox is seeking a Securities-focused counsel to join our client’s team in San Jose, CA. This role reports to the Chief Legal Officer & Corporate Secretary and will support governance, disclosures, and regulatory compliance for a public company.

The ideal candidate has a JD and 10+ years of experience, including in-house at a public company; experience with international operations and complex financings is highly valued.

Qualifications

  • JD required.
  • 10+ years of experience required.
  • 3+ years of law firm experience required.
  • In-house experience at a public company required.
  • Experience in a manufacturing and/or energy environment a plus.

Responsibilities

  • Ensure that the Company conducts its business in compliance with applicable SEC laws and NYSE rules; manage Sarbanes-Oxley and 1934 Act compliance and reports (10-Ks, 10-Qs, and 8-Ks and proxy statements).
  • Work closely with the CLO and Chief Financial Officer on earnings releases, analyst/investor conferences, disclosure issues and shareholder proposals.
  • Serve as a legal advisor on all corporate equity and debt financings, including acquisitions, divestitures, and joint ventures; provide counsel on regulatory interpretations and legal implications of all matters.
  • Keep abreast of ongoing governance and provide support on Board activities.
  • Provide legal advice, opinions and solutions regarding issues and risks relating to ongoing and expanding business into international markets.
  • Support the stock administration department on equity matters and employee education.
  • Assist in oversight of maintenance of all foreign and domestic subsidiaries.
  • Stay up-to-date and keep Legal team advised on external governance trends, SEC issues, general legal issues and best practices.

Job description

Our client, a gobal organization is looking for a Securities-focused counsel to join their team. This role will report to our Chief Legal Officer & Corporate Secretary and based in San Jose, CA.

Role and Responsibilities:
