Qualifications

• 3-5 years of legal experience in a major national or international law firm.
• Experience drafting key legal documents for corporate and securities matters.
• Experience interacting with regulatory authorities such as the SEC.
• Securities transactional and compliance experience preferred.
• Experience in public and private offerings preferred.

Responsibilities

• Prepare and manage SEC and other regulatory filings and submissions.
• Draft, review, and negotiate legal documents for corporate and securities transactions.
• Coordinate and execute transactions, including public and private offerings.
• Conduct due diligence reviews and coordinate deal closings.
• Manage and develop client relationships.
• Supervise and train junior associates and manage transactional specialists.
• Perform research and writing to support the practice.
