Job summary

Ultimus Fund Solutions seeks an Associate Legal Counsel to provide high-level Legal Administration services addressing basic legal needs for multiple clients. You will prepare SEC filings, board materials, and minutes while supporting regulatory research and client communications.

The role requires a J.D. with bar admission (or anticipated), up to 3 years of 1940 Act experience, and strong written and oral communication skills.

Qualifications

• J.D. and bar membership (or anticipated) in at least one state.
• 0–3 years of experience as a 1940 Act attorney.
• Knowledge of the Investment Company Act of 1940 and related securities laws.
• Proficiency with Microsoft Office Suite and Adobe Acrobat.

Responsibilities

• Prepare client registration statement updates and other client SEC filings.
• Prepare and distribute all client board and committee materials.
• Attend board and committee meetings by telephone or in person to record notes.
• Draft contract amendments for services provided to assigned clients.
