Job summary

University of North Carolina at Chapel Hill is seeking a Senior Digital Technology Contracts Counsel to provide legal advice and transactional support on data privacy, information security, and technology procurement. The role drafts, reviews, and negotiates provisions in SaaS, cloud, licensing, and other tech agreements, reporting to senior privacy and legal leadership.

Qualifications

• Admission to practice law in at least one U.S. jurisdiction.
• Ability to obtain admission to the North Carolina State Bar within a reasonable time if not already admitted.
• Experience negotiating technology transactions, commercial contracting, or related practice areas.
• Experience drafting and negotiating technology-related agreements, including SaaS and cloud services.
• Experience drafting and negotiating non-disclosure agreements and confidentiality provisions.
• Knowledge of HIPAA, FERPA, GDPR, NIST and other data privacy concepts as applied to contracts.

Responsibilities

• Draft, review, and negotiate data privacy and information security provisions in technology-related agreements (SaaS, cloud, software licensing).
• Partner with ITS, IPO, ISO, Office of University Counsel, and other units to support compliant procurement.
• Develop and maintain contract templates, negotiation playbooks, and guidance materials.
• Provide training on contracting practices involving data privacy, information security, and procurement.
• Assist with resolution of contractual issues or disputes involving technology vendors.
• Lead contract reviews for high-value technology procurements and escalations to ensure compliance with laws and policies.
• Mentor junior counsel in this area.
