Job summary

University of North Carolina at Chapel Hill seeks a Senior Digital Technology Contracts Counsel to advise on data privacy, information security, and technology procurement. The role drafts, reviews, and negotiates a broad range of tech-related agreements and licenses.

Reporting to senior legal leadership, this professional will collaborate with ITS, IPO, ISO, and other departments to ensure protections for institutional data and systems while guiding contract strategies and templates.

Qualifications

• Admission to practice law in at least one U.S. jurisdiction; ability to obtain NC State Bar admission.
• Experience negotiating technology transactions and commercial contracting.
• Experience drafting and negotiating technology-related agreements including SaaS and cloud services.
• Experience drafting NDAs and confidentiality provisions.
• Knowledge of HIPAA, FERPA, GDPR, NIST and related privacy concepts.

Responsibilities

• Draft, review and negotiate high-value data privacy and information security provisions in tech agreements.
• Collaborate with ITS, IPO, ISO and other units to support compliant technology procurement.
• Maintain contract templates, negotiation playbooks and guidance materials.
• Provide training on contracting practices involving privacy, security, and procurement.
• Lead high-risk contract reviews and escalate as needed.
• Mentor junior counsel and support vendor risk management.
