Ferguson seeks a Senior Corporate Paralegal to provide governance and secretarial support to the Chief Legal Officer and Corporate Secretary. This role focuses on board administration, shareholder matters, and insider trading compliance, collaborating with Legal-Corporate, Finance, Investor Relations and HR teams.

Qualifications

• Bachelor's degree or equivalent in paralegal studies, legal studies, business, or related field.
• 10+ years of relevant paralegal, corporate secretarial, or governance experience.
• Experience with corporate governance, securities processes, and board portals.

Responsibilities

• Maintain corporate records, FEI entity details, and governance documents.
• Prepare draft resolutions and maintain the resolutions library.
• Support Board, Committee, and shareholder meeting materials and calendars.
• Monitor insider trading, share ownership, and compliance processes.
