Job summary

OneSource Virtual seeks a Senior Commercial Counsel to lead complex enterprise agreements across SaaS and BPaaS offerings. The role partners with Sales, Customer Success, and business leaders to structure, negotiate, and close high-value deals while balancing commercial and legal risk.

The ideal candidate has a strong track record in data protection, privacy laws, and AI-related considerations, with a pragmatic, business-focused approach and executive presence.

Qualifications

• J.D. from an ABA-accredited law school.
• Minimum of 10 years of commercial/corporate legal experience, including BPaaS and SaaS.
• Experience leading complex, enterprise technology transactions with Fortune 500 customers.
• Experience with data protection, privacy, and AI-related laws (GDPR, CCPA, EU AI Act).
• Active bar license in state of residence.

Responsibilities

• Lead strategy, negotiation, and execution of high-value enterprise agreements (SaaS, BPaaS, data processing, DPA, BPA).
• Draft, review, and negotiate technology and licensing agreements with enterprise customers.
• Advise Sales, Success, and leadership on deal structure, risk, and strategy.
• Collaborate with Finance, Security, Product, and Support on issues and GTM models.
• Develop and maintain form agreements, templates, and negotiation playbooks.
• Provide training on legal best practices and leverage AI tools to improve efficiency.
