Job summary

Exterro Inc. seeks an experienced Commercial Counsel to own the SaaS contract lifecycle—intake, drafting, redlining, negotiations, and execution—80–90% focused on commercial deals.

This remote-first role reports to the General Counsel and partners with Sales, CS, Security, Compliance and Product to balance risk and revenue. The ideal candidate has deep SaaS experience and is proficient in GDPR/CCPA, DPAs, and AI-related terms, with strong communication and cross-border capabilities for a

Qualifications

• J.D. from an accredited law school with active bar status.
• 3–6 years in commercial contracts and technology transactions.
• In-house corporate or tech/commerce practice experience preferred.
• Deep familiarity with SaaS licensing, cloud computing, and data privacy.

Responsibilities

• Own a high volume of SaaS, enterprise license, order form, and reseller contracts from intake to execution.
• Draft, review, and negotiate MSAs, DPAs, BAAs, NDAs, AI addenda, and related agreements.
• Develop templates, playbooks, and clause libraries to speed deals and reduce risk.
• Collaborate with Sales and Customer Success to close deals efficiently.
• Advise on GDPR/CCPA/CPRA, privacy, and AI compliance in negotiations.
• Provide cross-functional support across Product, Security and Compliance teams.
