Job summary

Midi Health is seeking a Paralegal, Equity Administration & Regulatory Support to manage its equity program, regulatory filings, and entity management across multiple states. This role serves as a key liaison between Legal and Finance, helping keep Midi and its affiliated entities in good standing.

The ideal candidate is detail-driven, proactive, and capable of owning work from intake to completion, while knowing when to escalate to counsel.

Qualifications

• Minimum 3 years equity administration experience using Carta, Shareworks, or similar.
• Minimum 5 years as a corporate paralegal in-house or at law firm.
• Experience with audits, tax filings, equity reporting with Finance.
• Entity management across multiple states including annual reports.
• Healthcare or regulated-industry filings experience is a strong plus.

Responsibilities

• Administer Midi’s equity program and track vesting and 83(b) elections.
• Prepare grant documents, board approvals, and processing of grants/exercises.
• Coordinate 409A valuations and stock-based compensation reporting.
• Serve as liaison between Legal and Finance on entity, equity, and contract matters.
• Maintain registered agent oversight and good standing of entities.
• Support regulatory filings and compliance calendar management.
• Assist with financings, diligence requests, and closing documents.
