Qualifications

• Bachelor’s degree from an accredited university; equivalent work experience considered.
• 3+ years as a corporate or general paralegal, preferably in-house.
• Equity/Stock administration experience required.
• Paralegal certification preferred.
• Excellent judgment, integrity, and communication skills.

Responsibilities

• Compile and review contracts and corporate activity data for monthly, quarterly, and annual reporting for finance and accounting.
• Use contract administration software to reconcile and archive agreements and manage expiration reminders.
• Provide administrative support to legal and internal departments as requested.
• Coordinate signatures for commercial contracts, NDAs, and vendor/customer agreements.
• Prepare board materials and maintain corporate records; support Board/committee meetings.
• Ensure compliance with Section16 reporting and assist with Form 3/4/5 filings and stock matters.
• Maintain stock ownership records and coordinate with the transfer agent.
• Administer equity transactions including stock option exercises and ESPP programs.
• Generate reports for audits, tax, and legal filings related to equity plans.
