Job summary

Axiom is seeking an experienced M&A Counsel to support a mining client. This remote role focuses on practical, hands‑on legal support across mining transactions, commercial agreements, M&A, and securities matters.

You will independently manage matters and work leanly with stakeholders to keep transactions moving forward. The ideal candidate has meaningful in‑house mining experience, strong M&A and securities background, and is licensed to practice law in the applicable jurisdiction.

Qualifications

• Meaningful in‑house legal experience with a mining company.
• Hands‑on experience with mining transactions and commercial arrangements.
• Experience supporting corporate, commercial, M&A, joint venture, royalty, or offtake matters.
• Familiarity with public‑company and securities matters.
• Licensed to practice law in an applicable jurisdiction.

Responsibilities

• Draft, review, and negotiate mining‑related commercial agreements, including joint ventures, royalty agreements such as NSR arrangements, and offtake agreements for concentrate and doré products.
• Support small‑scale M&A transactions, including due diligence, drafting, negotiation, and other North American M&A activity.
• Provide legal support on corporate and securities matters.
• Work closely with legal and business stakeholders to understand business priorities and provide practical legal guidance.
• Independently manage matters and transactions with minimal supervision in a lean legal environment.
