Job summary

Axiom is seeking an experienced M&A Counsel to support a leading mining client. This remote role focuses on mining transactions, commercial agreements, M&A, and securities matters, with close collaboration to align legal work with business priorities.

The ideal candidate has meaningful in-house mining experience and is licensed to practice law in an applicable jurisdiction. Remote, North American focus, and lean team environment offer a dynamic practice.

Qualifications

• In-house experience in the mining sector is preferred.
• Hands-on experience with mining transactions and related commercial agreements.
• Experience handling corporate, M&A, joint ventures, royalties, or offtake matters.
• Familiarity with public-company and securities law considerations.

Responsibilities

• Draft, review, and negotiate mining-related commercial agreements, including joint ventures, NSR arrangements, and offtake agreements for concentrates and doré products.
• Support North American M&A activity through due diligence, drafting, negotiation and related tasks.
• Provide corporate and securities law support as needed.
• Collaborate with business stakeholders to understand priorities and provide practical legal guidance.
• Independently manage matters and transactions with minimal supervision in a lean in-house environment.
