Job summary

Axiom is seeking an experienced M&A Counsel to support a mining client, delivering practical legal guidance across mining transactions, commercial agreements, M&A, and securities matters in a lean in-house environment.

You will independently manage matters with minimal supervision while collaborating with stakeholders; remote work with North American scope; strong negotiation and drafting skills required.

Qualifications

• In-house legal experience with a mining company.
• Hands-on experience with mining transactions and commercial arrangements.
• Experience supporting corporate, commercial, M&A, joint venture, royalty, or offtake matters.
• Familiarity with public-company and securities matters.
• Licensed to practice law in an applicable jurisdiction.

Responsibilities

• Draft, review, and negotiate mining-related commercial agreements, including joint ventures, royalty agreements such as net smelter return (NSR) arrangements, and offtake agreements for concentrate and doré products.
• Support small-scale M&A transactions, including due diligence, drafting, negotiation, and other North American M&A activity.
• Provide legal support on corporate and securities matters.
• Work closely with legal and business stakeholders to understand business priorities and provide practical legal guidance.
• Independently manage matters and transactions with minimal supervision in a lean legal environment.
