Job summary

Axiom seeks an experienced M&A Counsel to support a mining client with practical, hands-on legal guidance across mining transactions, commercial agreements, M&A, and securities matters.

Work closely with legal and business teams in a lean environment, independently managing matters to keep transactions moving forward. This is a remote role with a focus on North American activity and preferred in-house mining experience.

Qualifications

• In-house experience with mining or mining-related transactions is required.
• Experience supporting corporate, commercial, M&A, joint venture, royalty, or offtake matters is preferred.
• Familiarity with public-company and securities matters.
• Licensed to practice law in an applicable jurisdiction.

Responsibilities

• Draft, review, and negotiate mining-related commercial agreements incl. JV, NSR, and offtake agreements.
• Support small-scale North American M&A due diligence and transactions.
• Provide legal support on corporate and securities matters.
• Collaborate with stakeholders to align business priorities with legal guidance.
• Independently manage matters with minimal supervision in a lean environment.
