Job summary

Prizeout is seeking an experienced attorney to lead legal matters across governance, commercial, risk and compliance. You’ll be a member of our operations team and report to our VP Strategic Finance and Rev Ops, managing all legal matters and driving our commercial contracting process.

Qualifications

• J.D. from a top law school and active NY State Bar.
• 3–7 years in commercial/tech transactions with privacy experience; fintech a plus.
• Corporate law, contract negotiation, and regulatory compliance experience preferred.
• Proven ability to build and maintain relationships with internal teams, external clients, and outside counsel.
• Expertise in negotiating, drafting, and modifying key terms of strategic commercial agreements.
• Practical, solution‑oriented legal approach with ability to identify creative business solutions.
• Ability to communicate complex legal concepts to non‑legal stakeholders.
• Excellent ability to operate and communicate remotely.
• Strong, independent work ethic and ability to meet tight deadlines.
• Thrives in a fast‑paced, high‑growth environment and works well in a team.

Responsibilities

• Provide legal guidance on governance, contracts, and regulatory compliance.
• Review, draft, and negotiate contracts with clients, employees, vendors, and others.
• Assist with corporate transactions, including fundraising, M&A, and strategic partnerships.
• Counsel product teams on data/privacy, terms, and regulatory compliance, and go‑to‑market strategy.
• Oversee governance matters including board minutes, consents, and equity compensation.
• Collaborate with outside counsel on IP and employment matters.
• Draft and update template agreements and security policies.
• Represent the company in negotiations and legal proceedings.
• Advise on employment matters and regulatory compliance.
• Maintain organized legal records and enhance compliance processes.
