Jobot is seeking an experienced Associate Attorney to join our Corporate group remotely. The role focuses on corporate transactional work, including finance transactions, mergers, governance, and fund raising for a diverse client base.

The ideal candidate will counsel clients through growth initiatives and be able to draft remediations and governance documents with appropriate oversight. This is a fully remote position with a national footprint.

Formación

• J.D. with strong academic performance and bar license in good standing.
• Experience drafting board/shareholder resolutions, convertible notes, operating agreements, and incentive plans.
• Experience with corporate governance, financing, indemnification, restructuring and fund raising.

Responsabilidades

• Structure, negotiate, document, and manage various corporate transactions.
• Provide strategic business and legal advice to clients on general matters.
• Advise clients on legal rights, contractual responsibilities, and implications of agreements.
• Advise on restrictive covenants related to employment law changes.
• Establish and maintain key stakeholder relationships with regular communications on deal negotiation and strategy.
• Contribute to internal processes and deal-making resources.
