Job summary

Jobot is seeking an experienced Associate Attorney to join its Corporate group in a 100% remote capacity. The role supports a national law firm-style practice handling finance transactions, mergers, governance, and fundraising for diverse clients.

The ideal candidate will be a J.D. with strong academics and bar admission, with experience drafting resolutions, operating agreements, and IP/financing documents.

Qualifications

• J.D. with strong academic performance and bar in good standing.
• Experience drafting board/shareholder resolutions, convertible notes, operating agreements, articles, and incentive plans.
• Experience with IP rights, risk mitigation, contract drafting, governance, financing, indemnification, restructuring, and fundraising.
• Expertise in corporate formation/start-ups, contract review, negotiations, and IP law.

Responsibilities

• Structure, negotiate, document, and manage various transactions.
• Provide strategic business and legal advice to clients on general legal matters.
• Advise clients on legal rights, contractual responsibilities, and matters arising from agreements.
• Advise on changes in law regarding restrictive covenants in employment.
• Maintain key stakeholder relationships with timely communications on deal negotiations and business strategy.
• Contribute to internal process development and deal-making resources.
