AIR Control Concepts is seeking a Corporate Paralegal to support the General Counsel across AIR and its affiliates. You will assist with corporate governance, entity formation and maintenance, contract drafting and negotiation, and other legal initiatives in a rapidly growing, acquisition-driven organization.

The successful candidate will have a bachelor’s degree, minimum 5 years paralegal experience, and strong ability to coordinate with executives and outside counsel.

Competenze

• Bachelor's degree or equivalent combination of education and relevant experience.
• Minimum of 5 years paralegal experience; in-house experience preferred.
• Experience supporting or managing a large or complex portfolio of entities, governance actions, and recurring compliance obligations.
• Experience drafting and negotiating routine commercial agreements.
• Working knowledge of parent and subsidiary structures, formation and foreign registration requirements, and governance filings.
• Discretion with attorney-client privileged, confidential, employee, and transaction-related information.
• Ability to work effectively with executives, operating companies, outside counsel, and acquisition partners.

Mansioni

• Support lifecycle of domestic and international subsidiaries, including formations, dissolutions, mergers, and restructuring.
• Maintain good standing and annual reports; foreign qualifications and filings.
• Maintain company records and governance documents; incumbency certificates.
• Prepare initial drafts of written consents and governance documents.
• Support master organizational chart updates reflecting acquisitions and restructurings.
• Assist with post-closing legal integration and licensing transfers.
• Draft, review, and negotiate routine commercial contracts under attorney supervision.
• Coordinate requests for organizational documents, licenses, and certificates.
• Coordinate litigation holds and document collection as needed.
• Review outside-counsel invoices and monitor legal spend against budgets.
