Job summary

Talently is seeking an experienced Corporate Counsel specialized in project finance and infrastructure to help commercialize a first‑of‑its‑kind platform. You’ll work directly with senior leadership and commercial teams to structure, finance, and deliver complex infrastructure projects while building the commercial legal function from the ground up.

This is a hands‑on role where you’ll shape how projects are structured, financed, contracted, and brought to market, with ownership of project SPVs,

Qualifications

• 7+ years of experience in project finance and infrastructure transactions.
• JD from an accredited law school; active US bar license in good standing.

Responsibilities

• Lead project finance and infrastructure transactions through financing, close, and implementation.
• Develop and implement legal structures for infrastructure projects, including SPVs and financing arrangements.
• Own legal workstreams for project financings: loan agreements, security packages, guarantees, and related docs.
• Structure and negotiate EPC agreements, development agreements, concessions, and O&M arrangements.
• Collaborate with cross-functional teams to turn prospective projects into financeable transactions.
• Support pursuits of new projects with RFPs, bids, and negotiations with customers and partners.
• Build the legal framework for global procurement and supply chain activities with master agreements.
• Create repeatable templates and processes to scale project development and commercial activities.
