Job summary

CAI is seeking a Governance Administrator to join its Governance, Risk & Compliance team. You will manage contract reviews, research, and analysis for RFPs, MSAs, SOWs, and NDAs, ensuring policy and legal compliance. This remote, full-time role emphasizes coordinating with cross-functional teams and counsel.

The ideal candidate has a paralegal background, 3+ years of relevant experience, and strong writing and organizational skills. Privacy law and IT regulatory knowledge are a plus.

Qualifications

• Contract review and negotiation experience with RFPs, MSAs, SOWs, and NDAs.
• Governance and compliance experience within a corporate IT services environment.
• Proficiency with legal research tools and contract management software.
• Strong writing ability for contract research and analysis.
• Excellent organizational and time-management skills.
• Strong written and verbal communication, ability to work independently and in teams.
• Knowledge of privacy laws, IP rights, governance, and IT regulatory compliance is beneficial.

Responsibilities

• Draft, review, and negotiate contracts including RFPs, MSAs, SOWs, and NDAs.
• Meet deadlines and prepare documents per guidelines.
• Collaborate with sales, finance, and operations for contract information.
• Conduct legal research and analysis on contract law, governance, and compliance.
• Identify legal risks and advise mitigation strategies.
• Maintain organized filing system for contract documents (electronic and paper).
• Develop contract templates and standard clauses to streamline reviews.
• Liaise with counsel as required.
• Provide training on contract processes, governance, and compliance.
• Stay updated on laws affecting contracts and IT sector operations.
