Qualifications

• Juris Doctor (JD) and active bar in a U.S. jurisdiction.
• Min 4 years' experience in transactional practice focusing on contract drafting, review, and negotiation.
• Deep familiarity with liability, indemnification, confidentiality, and data protection provisions.
• Synthesizes complex legal concepts into clear written analyses.
• Strong judgment and accuracy in contract review and interpretation.
• Technology transactions experience is a plus.
• Adaptable and able to contribute to a confidential, high-impact project.

Responsibilities

• Review and redline commercial agreements including MSAs, NDAs, DPAs and similar documents.
• Analyze drafts to identify key issues and determine company positions and acceptable fallbacks.
• Draft clear, reasoned explanations detailing the rationale behind each redline or revision.
• Apply advanced contract drafting, negotiation, and technology transactions knowledge to real-world documents.
• Collaborate with the project team to ensure consistency of standards and interpretations.
• Maintain meticulous attention to detail and uphold high standards of legal writing and contract review quality.
• Work independently within a remote, deadline-driven project environment.
