Exodigo is seeking an experienced Commercial Legal Counsel to support our US commercial activities, with a focus on government contracting and regulatory compliance. This is a remote position involving close collaboration with teams in the United States and Israel.

The ideal candidate has 5+ years of relevant experience, strong knowledge of U.S. government contracting requirements, and experience advising on compliance across states.

Qualifications

• 5+ years of relevant legal experience in commercial law and U.S. government contracting.
• Strong knowledge of federal procurement regulations, FAR and DFARS.
• Experience advising on regulatory compliance across multiple U.S. states.
• Experience negotiating commercial agreements and government-related prime contracts.
• Ability to identify key risks and provide practical, commercially focused recommendations.

Responsibilities

• Draft, review, and negotiate a broad range of commercial agreements including customer contracts, MSAs, and NDAs.
• Advise on U.S. federal, state, and local government contracting matters and procurement rules.
• Review solicitations, bids, and government contracts to identify risks and compliance gaps.
• Advise on FAR, DFARS, and other federal requirements.
• Ensure compliance including representations, certifications, ethics, cybersecurity, and audits.
• Collaborate with Sales, Finance, Operations, Procurement, and I.S. teams to provide practical legal advice.
• Support contract administration including amendments, changes, claims, disputes, and terminations.
• Develop and improve contract templates, playbooks, and internal procedures.
