Job summary

Machinify seeks an Assistant General Counsel to own AI, data, and IP terms across commercial agreements. You will report to the Deputy General Counsel and collaborate with privacy, security, and product teams to ensure terms align with regulatory and business needs.

The role involves hands-on drafting, negotiating BAAs and DPAs, and guiding deal teams through technical contract requirements while managing risk for healthcare data products.

Qualifications

• Demonstrated ownership of AI and data rights provisions in commercial agreements.
• Knowledge of BAAs, PHI handling, and health data privacy.
• Experience negotiating data use and data rights with health plans.
• Ability to translate privacy and compliance guidance into contract language.

Responsibilities

• Own AI provisions in customer, partner, and vendor agreements and negotiate data use terms.
• Draft and maintain standard AI contract language and fallback positions.
• Negotiate BAAs, DPAs, data protection schedules, and security exhibits.
• Advise product/engineering on contract implications of new AI features.
• Translate privacy, security, and regulatory requirements into contract terms.
• Close loops with privacy and compliance teams to revise standards as needed.
• Draft, negotiate, and close customer MSAs, SOWs, SaaS, NDAs, and government subcontracts.
• Partner with Sales and Client Success to drive deals to signature.
