Job summary

Machinify, a leading healthcare intelligence company, is hiring an Assistant General Counsel to own AI, data, and IP terms across commercial agreements. You will report to the Deputy General Counsel and partner with product, engineering, and sales to ensure contracts reflect privacy and regulatory requirements.

This is a hands-on drafting and negotiating role, sitting across from health plan counsel and procurement teams to align product and contract terms, with broad impact on deals and risk

Qualifications

• JD from an accredited law school and active membership in good standing in at least one U.S. state bar.
• 8+ years of commercial contracting experience at a law firm, in-house, or both.
• Demonstrated ownership of AI and data rights provisions in commercial agreements.
• Working knowledge of HIPAA and health data privacy, BAAs, PHI handling.
• Substantive IP experience in software or data context.
• Healthcare industry experience (payer, health tech, or related).

Responsibilities

• Own AI provisions in customer, partner, and vendor agreements and negotiate data rights terms.
• Draft and maintain standard AI contract language and escalation points.
• Advise product and engineering on contract implications for new AI features.
• Negotiate BAAs, data processing agreements, and security exhibits.
• Serve as legal partner to Sales and Client Success on active deals and renewals.
• Explain positions plainly to clients and help teams with battle-ready talking points.
